Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable license to use our Services. ShipNative and its licensors own all rights, title, and interest in and to the Services, including all AI models, software, interfaces, graphics, designs, computer code, products, and all other elements of the Services. You may not modify, reproduce, distribute, create derivative works or adaptations of, publicly display, or in any way exploit any of the Services in whole or in part except as expressly authorised by us in writing.

You may not reverse engineer or disassemble any aspect of the Services or attempt to derive the source code of our software or AI models.

You retain all rights to any content, applications, or data you create or process using our Services. You are solely responsible for your content and for ensuring that you have all rights necessary to submit and use that content in connection with the Services.

By submitting content to ShipNative, you grant us a worldwide, royalty-free licence to use, reproduce, and process your content solely to the extent necessary to provide and improve the Services.

Certain features of the Services require payment. By selecting a paid plan, you agree to pay the applicable fees as described at the time of purchase. We reserve the right to modify our fees upon reasonable notice. Failure to pay applicable fees may result in suspension or termination of your access to paid features.

All fees are non-refundable except as required by applicable law or as explicitly stated in our refund policy.

We reserve the right to modify, suspend, or discontinue the Services (or any part thereof) at any time with or without notice. We may restrict or terminate your access to the Services for reasonable cause, including but not limited to violation of these Terms, misuse of our Services, or as required by law. Where practicable, we will provide reasonable notice of any such restrictions or termination.

Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorised use of your account or any other breach of security.

You agree not to use the Services to:

• Violate any applicable laws or regulations
• Infringe the intellectual property rights of others
• Transmit any harmful, offensive, or disruptive content
• Attempt to gain unauthorised access to any part of the Services
• Use the Services to develop competing products or services
• Engage in any activity that could damage, disable, or impair the Services

Our services are provided "as is" and "as available" without any warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the services will be uninterrupted, error-free, or completely secure.

ShipNative shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of (or inability to access or use) the services.

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in the United States.

We may update these Terms at any time at our sole discretion. We will notify you of any material changes by email or by posting a notice within the Services. Your continued use of the Services after any changes constitutes your acceptance of the new Terms.
